1. Scope

1.1 These Terms and Conditions (“Terms”) apply to all orders placed by customers through the online store or by telephone with Titan Cosmetics Sp. z o.o., located at Ul. Cyprysowa 8, 02-265 Warsaw, Poland. They govern the conclusion, execution, and obligations of all contracts entered into between Titan Cosmetics Sp. z o.o. (“Seller”) and the customer (“Buyer”).

1.2 These Terms exclusively govern all business relationships between Titan Cosmetics Sp. z o.o. and its commercial customers. Any deviating conditions from the Buyer are not recognized unless expressly agreed to in writing by the Seller.

1.3 Complimentary items or free allowances do not apply to bundled sets; only the portion containing required products is eligible for calculation.

1.4 Titan Cosmetics Sp. z o.o. supplies exclusively to professional tradespeople and dealers.

Buyers must include their full name and order number as the payment reference.

3. Conclusion of Contract

3.1 Product presentations in the online store are non-binding and serve only as a product catalog.

3.2 By clicking the “Send Order” button, the Buyer submits a binding offer to purchase the goods contained in the shopping cart in accordance with these Terms.

3.3 The Seller accepts the order either by (a) sending an order or shipping confirmation via email, or (b) delivering the goods to the Buyer.

3.4 Any technical or pricing errors may result in the Seller canceling the order without liability. The Buyer is required to verify the order confirmation for errors or discrepancies and report them immediately.

3.5 If no confirmation or delivery is received within three (3) business days, the Buyer is no longer bound by the order and will receive notification from the Seller.

4. Prices and Payment Terms

4.1 All prices displayed in the online shop are net prices (exclusive of VAT, packaging, and shipping costs) and are quoted in Euros.

4.2 For VAT-exempt purchases, customers must provide a valid EU Sales Tax Identification Number.

4.3 A pro forma invoice will be issued for all online orders. The final invoice will accompany the package.

4.4 Prepaid VAT cannot be reimbursed by Titan Cosmetics Sp. z o.o.

4.5 Payment Methods:

Bank Transfer (Advance Payment): The Buyer receives bank details upon order completion. Orders are processed only after full payment is received.
PayPal: A payment link will be sent to the Buyer. PayPal service fees (3%–7%) apply and are non-refundable.
Cash on Delivery: Not available.
Sofortüberweisung (Instant Transfer): No discount is granted for this method.

4.6 All bank charges and PayPal transaction fees are borne by the Buyer.

4.7 No minimum order quantity applies. Discounts may be available for order volumes exceeding €2,000.

5. Delivery, Risk, and Transport

5.1 Delivery is made from Warsaw, Poland. The goods are shipped at the Buyer’s cost and risk (“ex-works Warsaw”).

5.2 The risk of accidental loss or damage passes to the Buyer upon handover to the carrier.

5.3 The Seller is not liable for delays or non-performance due to force majeure or circumstances beyond reasonable control.

5.4 Transport costs quoted are valid for shipments up to 6 kg within Europe. Orders exceeding this weight will receive an updated pro forma invoice with correct transport charges.

5.5 Once goods are handed to the carrier, 100% of transport risk transfers to the Buyer, regardless of insurance status.

5.6 Buyers must check all packages upon delivery for visible damage and discrepancies. The carrier must allow inspection of the contents. Claims require photo evidence and written confirmation by the driver.

5.7 Titan Cosmetics Sp. z o.o. is not responsible for export/import documentation, customs clearance, or duties. Buyers must comply with their own national import laws.

5.8 Delivery times are generally 24–48 hours after payment receipt within Poland and 3–5 business days across Europe, subject to carrier schedules. Delays caused by customs, weather, or other external factors are not grounds for compensation.

6. Returns and Complaints

6.1 Returns must be made prepaid to:

6.2 Returned goods must be unused, unopened, and in original packaging with seals intact.

6.3 Opened, used, or hygiene products (including gels, glues, liquids, files, cutters, lamps) are non-returnable.

6.4 A copy of the original invoice must be enclosed with all return shipments.

6.5 Unjustified returns are subject to a 25% handling fee of the gross invoice amount.

6.6 Complaints for visible defects, incorrect deliveries, or quantity discrepancies must be reported within two (2) days of receipt.

6.7 Complaints after 30 working days from receipt will not be accepted.

6.8 In cases of valid warranty claims, the Buyer may request a replacement, price reduction, or contract rescission. Liability for damages exists only in cases of willful misconduct or gross negligence.

7. Liability

7.1 Titan Cosmetics Sp. z o.o. excludes liability for minor negligent breaches unless they concern essential contractual obligations, injury to life, body, or health, or claims under the Product Liability Act.

7.2 If replacement delivery is provided, the Buyer must return the original goods within 30 days.

7.3 The unquestioned acceptance of goods by the carrier constitutes proof of proper packaging and absence of visible defects at dispatch.

8. Applicable Law and Jurisdiction

8.1 All contracts are governed exclusively by Polish law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

8.2 The place of performance and jurisdiction for all disputes is Warsaw, Poland.

8.3 For consumers, this choice of law applies only insofar as it does not deprive the Buyer of mandatory legal protections in their country of residence.

9. EU Cosmetics Compliance

9.1 All Buyers must comply with applicable import, export, and product labeling laws in their respective countries.

9.2 Titan Cosmetics Sp. z o.o. assumes no responsibility for the issuance of export or import documents or for ensuring compliance with national cosmetics regulations outside Poland.

9.3 Cosmetic products made available under Article 19(1) of the EU Cosmetics Regulation must bear proper labeling, including:

Name or business name and address of the responsible person.
Country of origin (for imports).
Nominal content at time of filling.
Expiry or period-after-opening date.
Special precautions for use.

9.4 Dealers selling products under their own responsibility must ensure compliance with all local labeling and safety laws.

9.5 Titan Cosmetics Sp. z o.o. explicitly states that no products designated as “Shellac” are offered or sold in Poland. Dealers acting independently bear full responsibility for their own sales activities.

10. Price Adjustments

Due to ongoing economic fluctuations and cost increases in materials, transport, and packaging, Titan Cosmetics Sp. z o.o. reserves the right to revise prices at any time. Buyers are encouraged to request updated quotations before placing orders.

11. Final Provisions

11.1 Images and product colors displayed in the online store are for illustration only; actual colors may vary slightly.

11.2 Lamps may be supplied in different colors but remain identical in function.
