Private customers purchase only in person at our premises after being informed of the full gross price.

§ 1. Seller and contact details

Commercial and accounting support, invoicing or payment processing may be carried out by ABC International Sp. z o.o., ul. Cyprysowa 8, 02-265 Warszawa, acting in the name and on behalf of Titan Cosmetics Sp. z o.o. Unless expressly stated otherwise, Titan Cosmetics Sp. z o.o. remains the seller.

§ 2. Scope of the Online Shop and Electronic Services

The online shop serves as a product catalogue and as a channel for submitting B2B orders. Consumers may view product information but do not conclude a sales contract online.

We provide electronically, in particular, the product catalogue, search function, contact form, B2B order form and, where available, a customer account. To use these functions, an internet-enabled device, an up-to-date web browser and, where required by the relevant function, an active email address are necessary.

It is prohibited to submit unlawful content or malicious software, attempt unauthorised access, or interfere with the operation of the website.

The agreement for the provision of a particular electronic service is concluded when the user starts using the relevant function of the online shop. Use of that function ends when it is completed or discontinued and does not in itself constitute the conclusion of a sales contract.

§ 3. B2B orders and conclusion of contract

The presentation of products does not constitute a binding offer by Titan Cosmetics Sp. z o.o. By submitting a B2B order, the business customer makes an offer.

After receiving an order, we may verify, in particular, the company, NIP/EU VAT ID, registration data, professional nature of the purchase, invoice details, price, availability and legal restrictions.

An automatic confirmation, order number, system message, payment request, reservation of goods, payment alone or a notice that goods are ready for collection does not constitute acceptance of the order.

An order is accepted only by an express statement of Titan Cosmetics Sp. z o.o., for example in a pro forma invoice or invoice containing the wording: “ORDER ACCEPTED - this document contains the acceptance of the order by Titan Cosmetics Sp. z o.o.” or equivalent wording. The contract is concluded when that statement is effectively transmitted to the customer.

We may refuse acceptance, in particular, in the event of incorrect data, lack of availability, an obvious price/system error, legal restrictions or inability to collect the goods in person. Any payment received before refusal will be refunded without undue delay.

§ 4. Private customers

For consumers, the website is a catalogue only. A B2B form submitted by a consumer is treated as a non-binding enquiry and not as a distance order. A consumer does not make an online prepayment on the basis of such an enquiry.

A contract with a consumer is concluded only in person at our premises in Warsaw, after the required information and the full gross price including VAT have been provided. A purchase concluded at the premises does not carry the statutory 14-day withdrawal right applicable to distance contracts. If a specific case is legally classified differently, the relevant mandatory consumer rights apply.

§ 5. Prices and payment

Prices displayed online are B2B net prices. VAT is added as required by law. Online prices are not a price offer to consumers; before purchasing at the premises, a consumer is informed of the full gross price.

As a rule, a B2B customer pays after the order has been accepted and before the goods are released, unless otherwise agreed. The payment method follows from the acceptance document, pro forma invoice, invoice or separate information. Consumers pay when purchasing in person at the premises.

For personal B2B collection in Poland, VAT is charged as required by law. Any special VAT treatment where the goods are later moved to another EU Member State requires a separate verification of the conditions and evidence; a foreign VAT ID alone does not entitle the customer to an invoice without Polish VAT.

§ 6. Collection in person only - no shipping

Goods are currently released only in person at ul. Cyprysowa 8, 02-265 Warszawa. We do not offer postal, parcel, courier or freight shipping, delivery to parcel lockers or international shipping.

Without our prior express consent, the buyer may not send a courier, freight forwarder or other professional carrier to collect the goods. A natural person may be authorised to collect the goods in person. We may request an order/invoice number, identification document and proof of authorisation.

An appointment must be arranged before collection by calling +48 531 747 544 or through another confirmed communication channel. Shipping will resume only after it is expressly offered again and the relevant terms have been published.

§ 7. Inspection of goods and risk

B2B customers should inspect at collection the type, quantity, completeness, variant, visible damage, packaging/seals and - where relevant - LOT/batch number. Visible discrepancies should be reported immediately at collection and hidden defects immediately after discovery, where statutory duties of inspection and notification apply.

Inspection by consumers is voluntary and does not limit their statutory rights. Goods are released when physically handed over to the buyer or an authorised person. From that time, to the extent provided by law, the buyer is responsible for further transport and proper storage.

§ 8. Complaints, returns and statutory warranty (rękojmia)

B2B: No consumer withdrawal right applies. Return of non-defective goods requires the prior express consent of Titan Cosmetics Sp. z o.o. The Polish statutory liability for physical and legal defects (rękojmia) is fully excluded for genuine B2B customers to the extent permitted by law; the exclusion does not apply to fraudulent concealment of a defect or other cases where the law does not permit exclusion.

Regardless of the above, we may voluntarily review a B2B complaint. Complaints should preferably be sent to info@titan-cosmetics.com and should include the company, order/invoice number, product, quantity, description of the issue, LOT/batch number and appropriate evidence. The method of making a product available for inspection must be agreed in advance.

Consumers retain all mandatory statutory rights concerning conformity of goods with the contract. A complaint may be submitted in person, in writing to the seller's address or by e-mail to info@titan-cosmetics.com. Missing voluntary additional information or photographs does not result in loss of statutory rights. There is no general right to return non-defective goods purchased at the premises unless the seller expressly grants such a right.

§ 9. Products and professional use

Before use, read the label, ingredients, instructions, safety information and warnings. Products marked as intended exclusively for professional use may be used and offered only in accordance with that intended purpose.

Nail products containing HEMA or Di-HEMA Trimethylhexyl Dicarbamate that are subject to EU restrictions are intended exclusively for professional use and must carry the required warnings. Cosmetics that may not lawfully be made available on the EU market, including cosmetics containing TPO where covered by the applicable prohibition, are not offered for lawful distribution.

Mandatory labels, warnings and batch markings must not be removed or falsified. B2B customers are responsible for their own obligations regarding resale, transport, storage and use; this does not transfer mandatory obligations imposed by law on Titan Cosmetics Sp. z o.o.

§ 10. B2B liability

To the extent permitted by law and exclusively in B2B relations, liability for indirect loss and consequential economic loss, in particular loss of profit, turnover, orders and business interruption, is excluded. Contractual liability is limited to typical, foreseeable direct loss and in aggregate to the net value of the goods directly affected by the event.

The limitations do not apply to intentionally caused loss, mandatory product liability, personal injury or other cases that cannot legally be excluded. Statutory liability rules apply to consumers.

§ 11. Data, applicable law and final provisions

The processing of personal data and cookies is governed by the current information on the website. Shop content, photographs and marks may be protected by copyright and trade mark law.

Polish law applies in principle. In B2B contracts, the CISG is excluded to the extent permitted by law. For B2B disputes, where legally permissible, the courts having jurisdiction for the registered office of Titan Cosmetics Sp. z o.o. in Warsaw are competent. Consumers remain subject to statutory rules on jurisdiction and all mandatory protective rights.

Individual agreements take precedence. Invalidity of one provision does not affect the remaining provisions to the extent permitted by law. For B2B, the version made available before the order was submitted is binding; for consumers, the information provided before the in-person purchase and mandatory legal provisions apply. In the event of language discrepancies, the Polish version is the reference text to the extent permitted by law. Amendments do not apply retroactively.
